Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the vinRECON website, mobile application, and dealership operations platform (collectively, the "Service") operated by vinRECON ("we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Description of Service

vinRECON provides a dealership operations management platform that includes inventory tracking, vehicle reconditioning workflows, task management, auditing tools, and related features. The Service is designed for automotive dealerships and their authorized personnel.

Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

Subscription and Payment

Access to the Service requires a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your selected plan
  • Provide valid payment information
  • Authorize recurring charges for subscription renewals

Subscription fees are billed in advance on a monthly or annual basis depending on your plan. All fees are non-refundable except as expressly stated in these Terms or required by law.

We reserve the right to modify pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Service for any fraudulent or unauthorized purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Transmit viruses, malware, or other harmful code
  • Reverse engineer, decompile, or disassemble the Service
  • Share your account credentials with unauthorized users
  • Use the Service to compete with vinRECON
  • Scrape, harvest, or collect data from the Service without permission

Your Data

You retain ownership of all data you input into the Service ("Your Data"). By using the Service, you grant us a limited license to use, process, and store Your Data solely to provide and improve the Service.

You are responsible for the accuracy and legality of Your Data. You represent that you have all necessary rights to upload and use Your Data within the Service.

We implement reasonable security measures to protect Your Data, but you acknowledge that no system is completely secure. We recommend maintaining your own backups of critical data.

Intellectual Property

The Service and its original content, features, and functionality are owned by vinRECON and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during your subscription period.

Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice when possible.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or available at all times, or that any defects will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VINRECON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless vinRECON and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your access immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Service will cease immediately. We may retain Your Data for a reasonable period to comply with legal obligations or resolve disputes.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Dallas County, Texas.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
